First Chair Referral and Credit Program

Welcome to First Chair’s Referral and Credit Program ("Credit Program"). This Credit Program governs Sign-Up Credit, Referral Credit, and Order-Earned Credit. Capitalized terms not defined here have the meanings in First Chair's Terms of Service. If this Credit Program conflicts with the Terms concerning Credit, this Credit Program controls. YOU ACKNOWLEDGE AND AGREE THAT CREDIT IS A PROMOTIONAL BENEFIT TIED TO YOUR MEMBERSHIP OF AND SUBSCRIPTION TO FIRST CHAIR'S PLATFORM, AND THAT ANY CREDIT IS FORFEITED ON EXPIRATION OR TERMINATION THEREOF. By earning, receiving, or redeeming Credit, you agree to these provisions.

1. Program Definitions

In this Credit Program:

  • "Sign-Up Credit" means Credit issued for satisfying an eligible new-account offer.
  • "Referral Credit" means Credit issued for an eligible referral.
  • "Order-Earned Credit" means Credit that First Chair may issue for a later Purchased Goods order, computed on the Order Base (as defined in the Terms) as set forth in Section 3, and never exceeding the Concierge Service Fee actually charged on the order that generated it.
  • "Concierge Service Fee”, "Order Base", "Pass-Through Amounts”, “Purchased Goods" and "Retailer" have the meanings in the Terms.
  • "Referral Link" means the unique link or code provided by First Chair.
  • "Referred User" means a person unaffiliated with First Chair who opens an Account within the Referral Attribution Window after clicking your Referral Link, as recorded by First Chair's systems. Last-click attribution applies. Offline deals and enterprise customers do not qualify.

2. Eligibility; Participant Representations

The Credit Program is open to End Clients with an active First Chair Account in good standing. First Chair may, in its sole discretion, determine eligibility and exclude any End Client from participation.

By participating in the Credit Program, you represent, warrant and undertake that: (1) you have the legal capacity and authority to participate, and you do not use automated means or "bots" to register or generate referrals; (2) if an individual, you are at least eighteen (18) years old; (3) you will not target minors as Referred Users; (4) you will not violate any third party rights, including intellectual property and privacy rights; and (5) you will comply with all applicable laws (including marketing and anti-spam laws such as the US CAN-SPAM Act of 2003, and applicable trade and export control laws), and will only send referral communications to recipients who have opted in to receive them.

3. Issuance and Amounts

First Chair determines eligibility for each type of Credit. Credits may be combined on an eligible order up to the order amount, subject to this Credit Program and any offer-specific terms. No interest accrues on Credit. You may view your accrued Credit balance at any time through the Platform's dashboard or by contacting our support, and First Chair will notify you of any accrued Credit prior to termination or expiry of your subscription.

For the avoidance of doubt, Credits are a conditional promotional benefit only and are not money held for the End Client, not stored value, cash, cashback, points, or a gift card. With respect to Purchased Goods orders and Order-Earned Credit, First Chair may decide whether such order earns Order-Earned Credit, applying the parameters above. Order-Earned Credit is calculated on the portion of the order paid in cash; any portion paid with redeemed Credit does not earn additional Order-Earned Credit.

All Credits issued under this Credit Program are promotional benefits funded entirely by First Chair from its own fee economics, and never from any Retailer discount, which passes to the End Client in full as reflected in the Purchased Goods order price. Where Credit reduces an order's price that includes a Purchased Goods purchase, the Credit portion is a First Chair-funded subsidy and never changes the Retailer’s own price.

4. Validity and Redemption

Credit is valid for the period stated in Section 3, except where applicable law requires a later expiration or no expiration. If applicable law requires cash redemption or another treatment, that law controls.

Order-Earned Credit cannot reduce the order that generated it. On a later Purchased Goods order, it is redeemed in the same way as Sign-Up Credit and Referral Credit.

All First Chair Credit is a direct dollar-for-dollar discount applied once, at the end of the order total, after the Concierge Service Fee is calculated. This treatment applies to every Credit type, including Credit issued before this version of the Credit Program, unless the original Credit Program terms under which such Credit was issued provide more favorable treatment.

Credit may only be applied toward Purchased Goods amounts, Reports and Concierge Service Fees. Credit cannot reduce an order below zero and cannot be used for a prior order, Platform subscription, cash withdrawal, or unaffiliated Third Party Service purchase. Credit is nontransferable and cannot be sold, assigned, refunded, withdrawn, or redeemed for cash except where required by law.

5. Refunds and Cancellations

The Return Policy controls Credit treatment after a cancellation, return, refund, chargeback, or payment dispute. First Chair may reverse Credit attributable to an amount that is cancelled, returned, refunded, unpaid, disputed, or charged back. Redeemed Credit is restored after the related refund or dispute is final only to prevent loss of both the returned value and the Credit. Restored Credit keeps its original expiration date unless applicable law requires otherwise. If a Purchased Goods order to which Credit was applied is cancelled or refunded in accordance with the Return Policy, the applicable Credit portion is re-issued as Credit with its original expiration date.

If the available balance is insufficient for a required reversal, First Chair may deduct the shortfall from a refund or future Credit to the extent permitted by law and disclosed to the End Client. First Chair will not recover more than the total benefit attributable to the affected transaction.

6. Fraud and Forfeiture

Fraud, self-referral, multiple or fake Accounts, manipulation, or other abuse is a material breach of the Terms and this Credit Program. First Chair may suspend accrual or redemption, correct balances, reverse affected Credit, or suspend or terminate participation. Any action will be limited to the affected Credit and any additional remedy permitted by the Terms or law.

Upon termination or expiration of your subscription, any Credits shall be forfeited and expire immediately, to the fullest extent permitted by applicable law.

7. Modification and Termination

First Chair may modify, suspend, or terminate the Credit Program prospectively by providing notice through the Platform or Website. A change will not reduce posted Credit except through an expiration or reversal permitted by the terms in effect when the Credit was issued, fraud, abuse, error correction, or applicable law.

First Chair may offer temporary Credit multipliers, matching, bonuses, thresholds, caps, or other promotions. Each promotion is governed by the terms presented with that offer. Offer-specific terms control only where they expressly differ from this Credit Program.

8. Program Operations

First Chair may withhold Credit until eligibility is validated, correct a Credit issued in error, apply eligible Credit in expiration order, and suspend accrual or redemption while investigating fraud, abuse, return, or a payment dispute. First Chair will maintain a record of issuance, expiration, redemption, reversal, restoration, and material manual adjustments.
